1. Introduction and Acceptance of Terms

Welcome to FreelanceERP.

FreelanceERP is an online marketplace designed to connect businesses, individuals, and organizations seeking Enterprise Resource Planning (ERP) services with independent professionals and service providers who offer ERP development, implementation, customization, consulting, integration, maintenance, and related services.

These Terms & Conditions (“Terms”) govern access to and use of the FreelanceERP website, platform, accounts, project management features, internal wallet, payment-related features, referral programs, partner programs, and any other services made available through the platform.

By registering an account, accessing the platform, posting a project, submitting a proposal, purchasing platform credits or Connections, accepting a project, funding a project, or otherwise using FreelanceERP, you agree to these Terms.

If you do not agree to these Terms, you must not use the platform.

Additional policies, including the Privacy Policy, applicable fee schedules, project-specific agreements, and any other policies published by FreelanceERP, form part of the contractual framework governing your use of the platform where applicable.

3. Eligibility and Account Registration

3.1 Eligibility

Users may register only if they have the legal capacity to enter into binding agreements under the laws applicable to them.

Users must comply with applicable age requirements, sanctions, export controls, tax obligations, and other legal restrictions.

FreelanceERP may restrict access from certain jurisdictions or for certain activities where required by law, regulatory obligations, or legitimate platform security requirements.

3.2 Accurate Information

Users must provide accurate, complete, and current information during registration and keep their account details updated.

Freelancers may be required to provide information concerning their professional experience, skills, portfolio, identity, business status, and payment or withdrawal details where applicable.

Clients must provide accurate information about themselves, their projects, project requirements, and relevant business details.

3.3 Account Security

Users are responsible for protecting their login credentials and for activities carried out through their accounts, except where applicable law provides otherwise.

Users must promptly notify FreelanceERP if they suspect unauthorized access, account compromise, or fraudulent activity.

Accounts must not be sold, transferred, shared, or used to impersonate another person without authorization.

3.4 One Account and Identity Integrity

FreelanceERP may restrict duplicate, misleading, fraudulent, or impersonation-related accounts. Any exceptions, including accounts for legitimate business teams, must comply with the platform's applicable rules.

3.5 Account Verification

FreelanceERP may request reasonable verification information to protect users, prevent fraud, comply with legal requirements, or support project and withdrawal processes.

Failure to complete a required verification process may result in restrictions on certain platform features, project participation, or withdrawals, subject to applicable law.

4. Role of FreelanceERP

FreelanceERP provides a marketplace and related tools intended to help clients and freelancers find one another, agree on project terms, manage projects, document communications, and process project-related financial records through the platform's wallet system.

Unless expressly agreed otherwise in a separate written agreement, FreelanceERP is not the employer of freelancers and does not automatically become a party to the underlying service agreement between a client and a freelancer.

Freelancers generally operate as independent service providers and are responsible for determining their legal and tax status, obtaining required registrations or authorizations, and complying with applicable employment, tax, invoicing, social security, and business regulations.

Clients are responsible for determining whether their engagement with a freelancer creates any employment, tax, withholding, reporting, or other legal obligations.

FreelanceERP does not guarantee that a project will be completed successfully, that a freelancer will obtain work, that a client will find a suitable freelancer, or that any particular commercial outcome will be achieved.

5. Client Responsibilities

Clients agree to:

  1. Provide clear, accurate, and lawful project descriptions.

  2. Define the expected scope, deliverables, deadlines, acceptance criteria, and budget as clearly as reasonably possible.

  3. Provide the information, access, materials, feedback, and cooperation reasonably required for the project.

  4. Fund the project or applicable milestone as agreed before the corresponding work begins.

  5. Review submissions and respond to reasonable requests for clarification or approval within a reasonable period.

  6. Communicate respectfully and lawfully with freelancers.

  7. Avoid requesting illegal work, deceptive practices, infringement of third-party rights, or work outside the agreed scope without an appropriate change agreement.

  8. Avoid circumventing applicable platform fees or abusing the wallet, refund, dispute, or project systems.

  9. Pay any applicable platform fees, taxes, and other charges disclosed under these Terms or the applicable fee schedule.

Clients should document requirements, approvals, scope changes, and delivery decisions through the platform whenever possible.

6. Freelancer Responsibilities

Freelancers agree to:

  1. Provide accurate information about their qualifications, skills, experience, and availability.

  2. Perform accepted projects professionally, diligently, and in accordance with the agreed scope.

  3. Communicate progress, risks, delays, and requests for clarification in a timely manner.

  4. Deliver the agreed work and documentation within the agreed deadlines, subject to any approved changes.

  5. Protect client information, credentials, source code, business data, and confidential materials.

  6. Respect intellectual property rights, data protection obligations, confidentiality requirements, and applicable laws.

  7. Obtain any permissions, licenses, or authorizations necessary for the work they provide.

  8. Avoid plagiarism, misrepresentation, unauthorized copying, malicious code, and unauthorized use or disclosure of client data.

  9. Keep appropriate records of work performed, deliverables, communications, and approvals.

  10. Maintain accurate withdrawal and account information and complete any required verification procedures.

Freelancers must not knowingly misrepresent project progress, submit fraudulent timesheets, create artificial project activity, or claim payment for work that was not performed.

7. Project Creation, Proposals, and Agreements

Clients may publish projects describing the services they require. Freelancers may submit proposals in accordance with the platform's eligibility rules and applicable Connections or proposal limits.

A project agreement should clearly identify, as appropriate:

  • Project scope and deliverables.

  • Price, budget, or hourly rate.

  • Project schedule and deadlines.

  • Milestones and their completion criteria.

  • Expected working hours, if applicable.

  • Review and acceptance procedures.

  • Intellectual property ownership and licensing arrangements.

  • Confidentiality and data handling requirements.

  • Any other terms agreed by the client and freelancer.

The client and freelancer are responsible for ensuring that their project agreement is lawful, complete, and appropriate for their engagement.

Changes to project scope, deadlines, budgets, or deliverables should be agreed by both parties and documented through the platform where possible. Additional work should not be assumed to be included unless agreed.

FreelanceERP may provide templates, messaging, project management features, and other tools, but the parties remain responsible for the substance of their agreement.

8. Connections, Platform Credits, and Fees

8.1 Connections

FreelanceERP may offer Connections or other platform credits that users can purchase or receive under specific platform programs.

Connections may be used to submit proposals or access designated features, according to the pricing and rules published by FreelanceERP.

8.2 Use and Expiration

The applicable checkout information or pricing policy should explain the price, permitted use, expiration, and any restrictions applying to Connections.

Unless required by applicable law or expressly stated otherwise, purchased Connections are platform credits and are not cash, a bank deposit, or a transferable financial asset.

8.3 Refunds for Connections

Refund eligibility for unused or used Connections is governed by the applicable pricing policy and mandatory consumer protection laws. FreelanceERP will not exclude any refund or withdrawal right that cannot legally be excluded.

Where a user is purchasing as a consumer, statutory consumer rights, including any applicable distance-contract withdrawal rights and exceptions, will apply as required by law.

8.4 Changes to Fees

FreelanceERP may change its pricing, fees, or available credit packages prospectively. Material changes will be communicated through the platform or another appropriate channel.

Changes will not retroactively alter fees already agreed for a completed transaction unless required by law or agreed by the affected parties.

9. Platform Commission

9.1 Standard Commission

FreelanceERP applies a standard platform commission of 10% of the applicable freelancer service amount for projects facilitated through the platform, unless a different rate is expressly agreed in writing or displayed as applicable to a particular program or transaction.

The project interface or applicable fee schedule should identify the amount used to calculate the commission and how the commission is allocated between the relevant parties.

9.2 Calculation

Unless the project interface or applicable fee schedule expressly provides otherwise, the commission is calculated on the applicable service amount attributable to the freelancer's work.

For example, if the applicable freelancer service amount is €1,000, a 10% commission equals €100.

The amount payable to the freelancer before any other applicable charges would therefore be €900, assuming the full €1,000 is subject to the commission and no additional adjustments apply.

The platform must clearly disclose whether any separately stated expenses, taxes, refunds, or other adjustments are included in or excluded from the commission calculation.

9.3 VAT and Similar Taxes

Depending on the country, the customer's status, the nature of the service, and applicable tax law, VAT (IVA) or another indirect tax may apply to the platform commission.

Where legally applicable, such tax may be charged in addition to the 10% commission, rather than being automatically included in the 10% rate.

For example, if a €100 commission is subject to 22% Italian VAT, the VAT on that commission would be €22, resulting in a total commission charge of €122.

This is an illustration only. The applicable tax rate, taxable person, invoicing treatment, place of supply, reverse-charge rules, exemptions, and other tax obligations depend on the actual transaction and applicable law.

FreelanceERP will apply and disclose relevant taxes in accordance with its legal obligations. Users remain responsible for their own taxes and reporting obligations where applicable.

9.4 Commission Disclosure

The applicable commission and any additional tax or fee should be shown to the relevant user before the user becomes committed to the applicable transaction, where required by law.

10. Wallet System and Project Funding

10.1 Wallet Records

FreelanceERP uses an internal wallet system to record relevant balances and transactions associated with the platform, including project funding, locked project amounts, payment releases, commissions, refunds, and withdrawals.

The wallet interface and applicable platform rules determine how available balances and transaction records are displayed.

10.2 Funding a Project

Before a project or milestone begins, the client is required to allocate or fund the agreed amount through the funding process made available by FreelanceERP.

Once funding is successfully recorded, the corresponding amount is marked as locked or reserved for the relevant project, subject to the platform's operational and legal framework.

Locked project funds are not ordinarily available for the client to spend on unrelated purposes or withdraw while the applicable project conditions remain unresolved.

10.3 Release to the Freelancer

When the freelancer submits the agreed work and the client approves the completion, the applicable project amount is released according to the project agreement, commission rules, and wallet procedures.

The freelancer's payable balance is calculated after deduction of the applicable platform commission and any other clearly disclosed and legally applicable adjustments.

The timing of the balance update or transfer may depend on technical processing, verification, compliance checks, and other applicable operational requirements.

10.4 Nature of the Wallet

The wallet is an internal platform accounting and transaction-recording feature. It should not be interpreted as a bank account, deposit account, or independently regulated payment account unless the platform operator expressly confirms that status under applicable law.

The legal nature of the arrangement, including how client funds are received, held, safeguarded, and transferred, is determined by the actual operating model and applicable law, not solely by the use of the term “wallet.”

10.5 Funding Failures and Adjustments

If funding is unsuccessful, reversed, disputed, or subject to a lawful restriction, FreelanceERP may pause the project, prevent release of the relevant amount, request additional information, or take other proportionate steps permitted by law.

FreelanceERP may correct genuine accounting errors and investigate suspected duplicate, fraudulent, or unauthorized transactions. Material adjustments will be documented where reasonably practicable.

10.6 Withdrawals

Freelancers may request withdrawal of eligible available balances in accordance with the platform's withdrawal procedures.

Withdrawals may require identity verification, accurate account details, compliance checks, minimum thresholds, or additional documentation where lawful and reasonably necessary.

The platform will communicate applicable withdrawal conditions and any applicable processing fees before a withdrawal is submitted, where required by law.

Processing times may vary depending on the relevant financial institutions, jurisdiction, currency, verification requirements, and other factors outside the platform's reasonable control.

Users must ensure that their withdrawal details are accurate. FreelanceERP is not responsible for delays or losses caused by incorrect information supplied by a user, except where applicable law provides otherwise.

10.7 Refunds to Clients

Where a refund is approved under these Terms, the dispute process, a cancellation agreement, or applicable law, the eligible amount may be credited to the client's platform wallet or returned through the appropriate available refund procedure.

The treatment of a refunded amount, including any previously charged commission or tax, will depend on the circumstances, the applicable fee policy, and legal requirements.

FreelanceERP will not retain or charge amounts where doing so would violate applicable law.

11. Milestone-Based Projects

Clients and freelancers are encouraged to divide large or complex projects into clearly defined milestones.

Each milestone should specify its scope, deliverables, budget, expected completion date, and acceptance criteria.

The client must fund or reserve the applicable milestone amount before the corresponding work begins, according to the platform's funding procedures.

When a freelancer submits a milestone for review, the client should examine the submission and either approve it or raise a reasoned concern within a reasonable period.

Upon approval, the eligible amount is released according to the applicable commission and wallet rules.

If a milestone is disputed, the disputed amount may remain locked while the dispute is reviewed. Any undisputed portion may be handled in accordance with the platform's applicable procedures and the circumstances of the case.

Milestones reduce the risk of misunderstandings and are strongly recommended for large, long-running, or technically complex ERP projects.

12. Hourly and Weekly Projects

Where the platform supports hourly, weekly, or time-based projects, the client and freelancer must agree on the applicable rate, working arrangements, authorized hours, reporting method, and payment conditions.

Where the platform requires an agreed amount to be reserved in advance, the client must ensure that the applicable amount is funded before the relevant work begins.

Payment should correspond to the hours or work properly performed, documented, and accepted under the agreed project terms.

For example, if a client reserves an amount corresponding to 30 hours and 10 hours are properly performed and accepted, the platform may release the amount corresponding to those 10 hours, subject to the applicable commission and project rules.

The example does not override a different written agreement or the platform's published rules for the specific project.

Users must not submit false timesheets, claim unauthorized hours, or knowingly approve inaccurate work records.

13. Project Completion and Acceptance

A project or milestone is considered ready for acceptance when the freelancer submits the agreed deliverables or otherwise completes the work required under the project agreement.

The client is responsible for reviewing the submission against the agreed scope and acceptance criteria.

Clients should not unreasonably delay approval, refuse acceptance in bad faith, or request substantial additional work outside the agreed scope without negotiating a change.

Freelancers should not mark work as complete when material agreed deliverables remain outstanding.

If the client identifies a material issue, the client should provide a clear explanation and relevant evidence through the platform, where possible, so that the freelancer has an opportunity to respond or correct the issue.

Where a client does not respond, FreelanceERP may contact the parties and apply its documented review procedures, taking account of the project description, available evidence, communications, and applicable law. No automatic outcome is guaranteed unless the platform's specific project rules expressly provide one.

14. Cancellations and Project Changes

Clients and freelancers should first attempt to resolve cancellation requests or changes through direct, documented communication.

A project may be cancelled or modified by mutual agreement, under an applicable project rule, or as otherwise permitted by these Terms and applicable law.

Where work has already been performed, any payment or refund should reflect the agreement, the evidence of completed work, the status of funded amounts, the applicable commission rules, and mandatory legal requirements.

FreelanceERP may review cancellation requests where the parties disagree. Any allocation of funds must follow the applicable dispute procedure and the law.

Neither party may use cancellation to avoid paying for work properly completed or to obtain payment for work not performed.

15. Disputes and Resolution Procedure

15.1 Requesting a Dispute Review

If a client or freelancer believes that a material disagreement cannot be resolved directly, either party may request a dispute review through the project interface or the procedure designated by FreelanceERP.

Examples include:

  • Work not delivered or materially incomplete.

  • Deliverables that materially differ from the agreed requirements.

  • Unreasonable refusal to approve completed work.

  • Disagreement about the scope of work or a change request.

  • Disagreement about hours, milestones, or payment.

  • Alleged misconduct, misrepresentation, or breach of project obligations.

15.2 Project Restrictions During Review

Once a dispute is accepted for review, FreelanceERP may lock or restrict the disputed project and the associated funds to prevent unauthorized releases, withdrawals, or changes while the matter is being assessed.

The restrictions will be limited to what is reasonably necessary for the review and permitted by applicable law.

15.3 Evidence from Both Parties

Both parties may be asked to provide relevant evidence, including:

  • The original project description and agreed scope.

  • Project milestones and acceptance criteria.

  • Messages, meeting summaries, and written approvals.

  • Source code, documentation, screenshots, demonstrations, or deliverables.

  • Timesheets or work logs where applicable.

  • Records of requested changes, delays, and attempts to resolve the issue.

Users should keep complete and accurate project records and submit truthful information. Knowingly fabricated or misleading evidence may lead to account restrictions or other action permitted by law.

15.4 Review by FreelanceERP

FreelanceERP may assign the dispute to qualified reviewers with relevant technical or ERP project experience.

Reviewers may consider the original requirements, the agreed scope, the available evidence, work completed, project progress, communications, and the circumstances of the dispute.

The review is an internal platform process and is not a substitute for a court judgment, arbitration award, or independent legal advice. Any determination is subject to mandatory law and any applicable contractual rights.

15.5 Proportional Allocation

Where the evidence supports a partial completion outcome, FreelanceERP may determine a reasonable allocation of the disputed project amount between the freelancer's payable amount and the amount refundable or returnable to the client, subject to the applicable agreement and law.

For example, if the evidence reasonably establishes that 50% of the agreed work was completed, the review may result in 50% of the relevant project amount being allocated to the freelancer and 50% being returned or credited to the client.

This is an illustrative example, not an automatic rule. The percentage may differ depending on the actual deliverables, quality, agreed milestones, project terms, and available evidence.

Any applicable commission, tax adjustment, prior release, or other legitimate accounting item will be handled under the applicable fee policy and legal requirements.

15.6 Review Timeframe

FreelanceERP aims to complete dispute reviews within approximately 7 to 30 days, depending on the project's size, complexity, evidence, and the parties' cooperation.

This is an estimated timeframe, not a guaranteed deadline. Additional time may be necessary in complex cases or where information is missing.

15.7 Failure to Cooperate

If one party fails to respond or provide requested evidence, FreelanceERP may proceed using the information reasonably available, including the original project description, platform communications, submitted deliverables, and records of project progress.

Failure to respond does not automatically establish that the other party is correct.

15.8 Confidentiality of Dispute Evidence

Dispute evidence will be handled in accordance with the Privacy Policy and applicable law. Access will be restricted to personnel or authorized reviewers who need the information to assess the dispute, administer the platform, protect users, or comply with legal obligations.

Evidence will not be made publicly available merely because it has been submitted for a dispute review. Information may be disclosed where legally required or otherwise permitted by the Privacy Policy and applicable law.

15.9 Closure Following Review

Once the review has been completed and the applicable funds have been allocated or released, FreelanceERP may close the disputed project.

If the parties wish to continue working together after closure, they may agree to establish a new project, subject to platform rules and any applicable restrictions.

15.10 No Guarantee of a Particular Outcome

FreelanceERP will make reasonable efforts to apply a fair, evidence-based process, but it does not guarantee that either party will receive the outcome they prefer.

Nothing in this section limits any non-waivable legal rights a user may have.

16. Intellectual Property

Clients and freelancers should expressly agree on ownership and licensing of intellectual property before work begins.

Unless a written agreement or applicable law provides otherwise, these Terms do not automatically transfer ownership of all intellectual property created during a project merely because the project is paid for.

The parties should specify, as relevant:

  • Ownership of newly developed source code and deliverables.

  • Licenses granted to the client.

  • Ownership of pre-existing tools, libraries, frameworks, templates, and reusable components.

  • Use of open-source software and third-party assets.

  • Restrictions on redistribution, modification, or commercial use.

  • The point at which any agreed transfer or license becomes effective.

Freelancers must not provide materials they do not have the right to use or license. Clients must not request infringement of third-party intellectual property rights.

Unless otherwise agreed, each party retains rights in materials it owned before the project, subject to any license expressly granted for project purposes.

FreelanceERP may use its own platform software, trademarks, branding, and materials in accordance with applicable law. Users may not copy, reverse engineer, misuse, or exploit platform assets except as permitted by law or written authorization.

17. Confidentiality and Data Protection

Users may receive confidential information about another party, including business processes, customer information, credentials, financial data, source code, and internal ERP configurations.

Users must use such information only for the agreed project and must not disclose it to unauthorized persons.

Users must take reasonable steps to protect confidential information and delete or return it when required by the applicable agreement or law, subject to lawful retention obligations.

Users must not upload personal data, confidential information, credentials, or proprietary materials unless they are authorized to do so and appropriate safeguards are in place.

Each user is responsible for complying with applicable data protection laws in connection with their own activities.

The collection and processing of personal data by FreelanceERP are described in the Privacy Policy.

18. Prohibited Activities

Users must not:

  1. Engage in fraud, impersonation, money laundering, or other unlawful activity.

  2. Provide false identity, professional, project, payment, or business information.

  3. Use the platform to facilitate illegal services or violate sanctions or applicable laws.

  4. Upload malicious code, malware, unauthorized access tools, or harmful files.

  5. Infringe intellectual property, privacy, confidentiality, or other third-party rights.

  6. Harass, threaten, discriminate against, or abuse other users.

  7. Manipulate reviews, ratings, proposals, project records, or dispute evidence.

  8. Abuse refund, wallet, withdrawal, or payment-related processes.

  9. Circumvent applicable platform fees or restrictions through prohibited off-platform arrangements.

  10. Interfere with the security, availability, or integrity of the platform.

  11. Scrape, harvest, or misuse user information without authorization.

  12. Use automated systems to access or manipulate the platform in violation of its rules.

  13. Misrepresent the identity of the actual service provider or the person performing the work.

  14. Use the platform to solicit or facilitate work that the user is not legally authorized to perform.

FreelanceERP may investigate suspected violations and take proportionate action under these Terms and applicable law.

19. Partner and Referral Program

FreelanceERP may operate partner, affiliate, or referral programs that allow eligible users to refer clients, freelancers, or other users.

Participation is subject to the separate program rules, eligibility requirements, commission structure, and any applicable terms published by FreelanceERP.

Where available, a participant may receive a referral link or other tracking method. A referral commission is earned only when the relevant referral satisfies the applicable program criteria and any required activity, payment, or eligibility conditions.

Referral commissions may be recorded in the user's platform wallet and may be withdrawn in accordance with the applicable withdrawal rules.

FreelanceERP may reject fraudulent, self-referring, manipulated, duplicate, or otherwise ineligible referrals.

Program rates, qualifying events, payment thresholds, attribution periods, and withdrawal requirements should be disclosed in the relevant program terms. FreelanceERP may amend or discontinue a program prospectively, subject to applicable law and any accrued rights.

Participation does not authorize a partner to make false claims, promise guaranteed results, bind FreelanceERP to an agreement, or use its trademarks without authorization.

20. Reviews, Ratings, and User Content

Users may be permitted to publish reviews, ratings, profiles, project descriptions, proposals, and other content.

Users are responsible for ensuring that their content is accurate, lawful, non-defamatory, and does not infringe third-party rights.

Reviews must reflect genuine experiences and must not be purchased, fabricated, manipulated, or used to threaten another user.

By submitting content to the platform, users grant FreelanceERP the limited rights reasonably necessary to host, store, display, reproduce, and process that content to operate, secure, and improve the platform, subject to applicable law and the Privacy Policy.

This license does not automatically transfer ownership of the content to FreelanceERP.

FreelanceERP may remove or restrict content that violates these Terms, applicable law, or legitimate platform safety requirements.

21. Account Suspension and Termination

FreelanceERP may restrict, suspend, or terminate an account where reasonably necessary because of suspected fraud, material breach of these Terms, security risks, legal obligations, abuse of the platform, or repeated failure to comply with applicable rules.

Where appropriate and legally permitted, FreelanceERP may notify the user of the reason and provide an opportunity to respond or remedy the issue.

Users may request account closure through the available account settings or support channels, subject to unresolved projects, pending transactions, legal retention obligations, and other legitimate requirements.

Account closure does not automatically cancel outstanding payment obligations, resolve an open dispute, erase records that must lawfully be retained, or eliminate accrued contractual rights.

Any remaining eligible balances will be handled in accordance with the platform's wallet procedures, verification requirements, and applicable law. FreelanceERP will not confiscate user funds without a lawful basis.

22. Platform Availability and Changes

FreelanceERP aims to maintain a reliable platform but does not guarantee uninterrupted or error-free operation.

The platform may be temporarily unavailable for maintenance, upgrades, security incidents, technical problems, or circumstances beyond its reasonable control.

FreelanceERP may modify, suspend, or discontinue platform features where reasonably necessary, subject to applicable law and any contractual obligations already incurred.

Where a change materially affects an active project, FreelanceERP will take reasonable steps to communicate the change and handle affected transactions appropriately.

23. Disclaimers

To the extent permitted by applicable law, FreelanceERP provides the platform and its general features on an “as available” basis.

FreelanceERP does not independently guarantee the qualifications, conduct, solvency, availability, or performance of every client or freelancer.

Users must exercise their own judgment when selecting counterparties, defining project requirements, assessing deliverables, and entering into agreements.

Nothing in these Terms excludes guarantees, remedies, or protections that cannot lawfully be excluded.

24. Limitation of Liability

To the maximum extent permitted by applicable law, FreelanceERP will not be liable for indirect or consequential losses, loss of profits, loss of business opportunities, or loss of data arising from platform use, where such exclusion is legally valid.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including any applicable liability for intentional misconduct, gross negligence, fraud, or other non-excludable matters.

FreelanceERP is not responsible for a user's independent contractual obligations, tax status, professional conduct, or legal compliance, except to the extent that applicable law provides otherwise.

Any limitation of liability must be interpreted consistently with mandatory consumer protection rules and other applicable laws.

25. Indemnification

To the extent permitted by applicable law, a user may be responsible for losses, claims, liabilities, and reasonable costs arising directly from the user's unlawful conduct, material breach of these Terms, infringement of third-party rights, or misuse of the platform.

This section does not create liability where it would be prohibited by applicable law, nor does it remove any rights a user may have under mandatory consumer protection legislation.

26. Taxes and Invoicing

Each user is responsible for determining and fulfilling their own tax, invoicing, accounting, registration, social security, and reporting obligations arising from their activities.

Freelancers are responsible for determining whether they must issue invoices or other tax documents to clients and for complying with the rules applicable to their status and jurisdiction.

Clients are responsible for any tax reporting, withholding, or other obligations imposed on them by law.

FreelanceERP will handle taxes applicable to its own fees in accordance with applicable law and its legal status. Any tax charged on the platform commission will be disclosed as required.

The platform's display of a transaction or wallet entry does not, by itself, replace a legally required invoice, receipt, or tax document.

27. Governing Law and Jurisdiction

These Terms are subject to the laws applicable to the Platform Operator and the relevant transaction, subject to mandatory legal protections that apply to a user.

If the Platform Operator is established in Italy, Italian law may govern these Terms, subject to applicable European Union law and mandatory consumer protection rules.

Where a user qualifies as a consumer, nothing in these Terms removes any mandatory right to bring proceedings before a court that has jurisdiction under applicable law.

Any jurisdiction clause must be applied only to the extent legally enforceable. Users may also have access to applicable alternative dispute resolution or other statutory remedies.

The final governing-law and jurisdiction provisions must be completed to reflect the Platform Operator's actual legal establishment and reviewed for enforceability.

28. Changes to These Terms

FreelanceERP may update these Terms to reflect changes in the platform, services, fees, legal requirements, or business operations.

The updated version will identify its effective or last-updated date. Where required by law or where a change materially affects users, FreelanceERP will provide appropriate notice.

Continued use of the platform after the effective date of an update may constitute acceptance where permitted by applicable law. Where explicit consent is legally required, FreelanceERP will obtain it.

If a user does not agree to a material change, the user may stop using the affected services and may request account closure, subject to outstanding obligations and applicable law.

29. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay in enforcing a provision does not automatically waive the right to enforce it later.

30. Entire Agreement and Language

These Terms, together with the applicable Privacy Policy, fee schedules, program rules, and project-specific agreements, form the contractual framework for the relevant platform services.

If a project-specific agreement conflicts with these Terms, the parties should identify the applicable precedence in writing, provided that no agreement overrides mandatory law or any non-waivable user rights.

If these Terms are provided in multiple languages, FreelanceERP should identify which version prevails in the event of a discrepancy, subject to mandatory law and consumer protection requirements.
